Overview & Acceptance
Welcome to Peoplo. These Terms of Service ("Terms") constitute a legally binding agreement between Peoplo Inc. ("Peoplo," "we," "us," or "our") and you, whether individually or on behalf of an entity ("Customer," "you," or "your"), governing your access to and use of the Peoplo workforce management software platform, website (https://peoplo.io), desktop applications, mobile applications, and related services (collectively, the "Services").
Our platform includes core workforce management tools and specialized modules such as Peoplo HRM, Peoplo Lens, Peoplo Tracker, and Peoplo Connect. By registering for an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.
Account & Registration
2.1 Account Creation & Workspace Administration
To use Peoplo, you must create a workspace account. When registering, you agree to provide accurate, current, and complete information about your organization and primary contact administrator. You are responsible for keeping your workspace information updated at all times.
The administrator who creates the workspace is designated as the primary Account Owner and possesses administrative authority to manage user accounts, module subscriptions, access permissions, and billing settings. You may assign additional administrators within your organization.
2.2 Credential Security
You are strictly responsible for maintaining the confidentiality of your workspace login credentials, password keys, and authentication tokens. You agree to immediately notify Peoplo at support@peoplo.io if you discover or suspect any unauthorized access to or use of your account.
2.3 Account Responsibility
Your organization is fully responsible for all activities, actions, data input, and transactions performed under your workspace accounts, including all actions taken by authorized users, employees, contractors, or administrators.
Subscriptions & Billing
3.1 Subscription Plans & Pricing
Peoplo offers various subscription plans, including free options (such as Peoplo HRM core) and paid tier plans for advanced modules. Current pricing details, feature matrix, and plan limits are published on our website or detailed in your custom enterprise service order.
3.2 Payment & Invoicing
For paid subscription tiers, fees are billed in advance on a recurring monthly or annual basis depending on your selected billing cycle. All payments are due upon receipt of invoice or auto-charged via credit card / electronic payment method registered on your account.
3.3 Taxes
All listed fees are exclusive of applicable taxes, levies, duties, or value-added tax (VAT) imposed by taxing authorities. You are responsible for paying all sales, use, excise, or GST taxes associated with your purchase, excluding taxes based on Peoplo's net income.
3.4 Renewal & Cancellation
Subscriptions automatically renew at the end of each billing term unless you cancel your subscription prior to the renewal date through your account settings or by written notice to our support team. Cancellations take effect at the conclusion of the active billing period.
Acceptable Use Policy
You agree to use Peoplo solely for lawful workforce management and business operations. You agree not to engage in any of the following prohibited activities:
- Reverse Engineering: Decompile, reverse engineer, disassemble, or attempt to derive source code from any software or module provided by Peoplo.
- Unauthorized Access: Access or attempt to access non-public areas of the platform, user accounts without permission, or infrastructure networks.
- Unlawful Employee Monitoring: Deploy tracking features (such as Peoplo Tracker or Peoplo Lens) in violation of local labor, privacy, or wiretapping laws.
- Malicious Code: Upload or transmit viruses, worms, malware, or any computer code designed to interrupt, destroy, or limit functionality.
- System Abuse: Interfere with system performance, overload servers, or execute automated scraping or indexing scripts against our APIs.
Module-Specific Terms
5.1 Peoplo HRM
Peoplo HRM provides core employee database, attendance, and leave management features. You are responsible for ensuring that all employee data entered into Peoplo HRM complies with applicable employment and privacy regulations in your jurisdiction.
5.2 Peoplo Lens (Biometric Verification)
Peoplo Lens utilizes facial recognition technology for attendance logging. Prior to enabling Peoplo Lens, you represent and warrant that your organization has obtained all required employee consents, disclosures, and authorizations mandated by applicable biometric privacy laws (e.g., BIPA, GDPR Article 9).
5.3 Peoplo Tracker (Productivity & Screenshots)
Peoplo Tracker captures work activity metrics and periodic desktop screenshots. Your organization is responsible for notifying employees about active monitoring schedules, establishing clear privacy expectations, and configuring appropriate data retention periods within your workspace settings.
5.4 Peoplo Connect (Remote Access)
Peoplo Connect enables remote desktop access and connection management. You must ensure that remote connections are established only with authorized devices and personnel. Peoplo is not liable for unauthorized device actions occurring during user-initiated remote sessions.
Intellectual Property Rights
6.1 Customer Data Ownership
As between Peoplo and Customer, you retain all right, title, and interest in and to all data, records, images, employee profiles, and materials uploaded or processed through your workspace ("Customer Data"). You grant Peoplo a non-exclusive, worldwide, royalty-free license to host, store, copy, and process Customer Data solely as necessary to provide and maintain the Services.
6.2 Peoplo Ownership
Peoplo and its licensors retain all right, title, and interest (including all patent, copyright, trademark, and trade secret rights) in and to the platform, website, software, designs, algorithms, documentation, and all derivative works. No rights are granted to you except as expressly set forth in these Terms.
Data Protection & Security
We implement bank-grade security controls (including AES-256 encryption at rest and TLS 1.3 in transit) and maintain administrative, physical, and technical safeguards to protect Customer Data against unauthorized access or disclosure.
Our collection and handling of personal data is described in detail in our Privacy Policy. Where applicable, our Data Processing Agreement (DPA) governs data processing activities under the GDPR and applicable global data protection laws.
Service Availability & Maintenance
We strive to maintain a high level of service availability (99.9% uptime target). However, access to the platform may occasionally be interrupted for scheduled maintenance, emergency updates, or infrastructure outages beyond our reasonable control.
Whenever practical, we provide advance notice of scheduled maintenance through in-app banners or email communications.
Termination & Account Suspension
9.1 Termination by Customer
You may terminate your account at any time by closing your workspace or contacting support. Upon termination, you remain responsible for any unpaid fees through the end of your subscription term.
9.2 Suspension or Termination by Peoplo
We reserve the right to suspend or terminate your workspace access immediately if: (a) you breach any material provision of these Terms; (b) your account is more than 30 days overdue; or (c) we reasonably believe your use of the Services poses a security risk or violates applicable law.
9.3 Data Export & Deletion
Upon account termination, you will have 30 days to export your workspace Customer Data. Following this 30-day grace period, Peoplo will permanently delete or anonymize all Customer Data in accordance with our data retention schedules.
Warranties & Disclaimers
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEOPLO DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PEOPLO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY.
PEOPLO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PEOPLO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Changes to Terms
We reserve the right to update or modify these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this document and notify active workspace administrators via email or platform notification at least 30 days prior to the changes taking effect. Your continued use of the Services after the effective date of revised Terms constitutes acceptance.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Delaware, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and the parties hereby consent to personal jurisdiction and venue therein.
